Sales Terms & Conditons

 
Introduction
 
Unless otherwise specifically agreed to in writing by Seller, these Sales Terms and Conditions shall apply to any and all orders placed by Buyer for Arianetech products or services of Seller. In these sales terms and conditions, Arianetech Pte Ltd designated in Seller’s order acknowledgement is referred to as “Seller” and the party to whom Seller’s order acknowledgement is addressed is referred to as “Buyer”. Seller reserves the right to amend/update this Terms and Conditions at its sole discretion without prior notice to the Customer.
 
Registration and Password
 
Registration is simple and done only by an individual Buyer. The Buyer must provide a unique email and password. The email and password will be required for login to Seller website. Registration by Buyer helps Seller trace all orders in cases where there are queries or problems.
Buyer must ensure that all details provided during registration or any other time is correct and complete. Any changes to details provided during registration must be updated by informing Seller via email or update online.
During registration, Buyer will be asked to provide a Password. This Password must be kept confidential and must not be disclosed or shared with anyone. Buyer will be responsible for any purchases and activities that are submitted under this Password. Seller reserves the right to refuse, suspend or terminate registration of buyer at Seller discretion.
 
Personal Data Protection Act 2012
 
In connection with the Personal Data Protection Act 2012 (PDPA), Buyer agree that Seller and it's Staff & related personnel (hereafter collectively referred to as "Seller") may collect, use, process, disclose, and/or transfer Buyer personal data for the purposes of administering, maintaining and terminating Buyer membership and participation in and keeping Buyer informed of updates, changes and developments relating to the Seller products or services, the scope of which may include but is not limited to:
 
Administering and maintaining Buyer account with Seller, including administering any benefits and entitlements;
Engaging third party service providers to perform certain aspects of the services offered by the Seller;
Unless Buyer notify Seller that Buyer do not wish to receive such information, sending Buyer information from time to time through e-mail and post about products and services, promotions and special offers, upcoming events and other information which may be of interest to Buyer;
Notifying Buyer about important changes to the membership program;
Responding to queries or feedback from Buyer;
Enforcing these Terms and Conditions and Seller legal rights and remedies; and
For such other purposes as permitted by applicable law or with Buyer consent.
 
In compliance with the PDPA, Seller will not send marketing messages to Singapore telephone or facsimile numbers belonging to Buyer unless Buyer have given Seller clear and unambiguous consent to do so. If Buyer has previously given Seller consent, Seller will continue to send Buyer marketing messages until Buyer advise Seller in writing that Buyer wish to withdraw the consent.
 
Patents And Other Intellectual Property Rights
 
Buyer Acknowledge that the Seller website contains information, data, software, photographs, graphics, music, sounds and other material (Other contents) that are protected by copyrights, trademarks & other intellectual property rights owned by Seller or Seller suppliers & partners.
 
Buyer must not modify, reproduce, copy or distribute any of the content on Seller website without Seller prior consent.
 
Buyer must not use Seller website for any of the following purposes:
 

• Disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material,
• Transmitting material that encourages conduct that constitutes a criminal offence or results in civil liability or otherwise breaches any relevant laws, regulations or code of practice,
• Gaining unauthorised access to other computer systems and interfering with any other person's use of the website,
• Interfering or disrupting networks or web sites connected to the website

 
 
 
The sale of products or provision of services hereunder does not convey any express or implied license under any patent, copyright, trademark or other proprietary rights owned or controlled by Seller, whether relating to the products sold, service provided, or any manufacturing process or other matter.
 
All rights under any such patent, Seller expressly reserves copyright, trademark or other proprietary rights. Furthermore, Buyer agrees not to infringe, directly or indirectly, any patents of Seller or its subsidiaries with any combination or system incorporating a product sold hereunder.
 
Seller reserves the right to publicize that Buyer has purchased products from Seller unless Seller are informed in writing that Buyer do not wish to be identified.
 
 
Website Availability
 
Whilst all attempts will be made to ensure Seller website access remain online all the time, but occasionally the Site may undergo maintenance or the introduction of new products & services. Buyer may wish to contact Seller directly via direct phone call during office hour or by email.
 
Product, Pricing and Performance Information
 
Seller website will made every effort to display the colours and outlook of Seller Products that appear on the Website as accurately as possible. However, as the actual colours and outlook that Buyer see will depend on Buyer monitor or device, Seller cannot guarantee that Buyer monitor or device's display of any colour and outlook will be accurate. In the event of any price differentials between the online order billing and the final bill whether arising from substitutions, out-of-stock Products, special promotion pricing, mislabelling or mispricing etc, Seller reserves the right to adjust the final bill after the online bill is presented/conveyed to the Buyer and such adjustment shall be final Whilst every effort is made to ensure that in terms of product details, pricing & performance information on Seller website are accurate and up to date, Seller expressly reserves the right to vary the price and other details of the Products without notice. As much as Seller tries to reflect the actual Product details, pricing & Performance, Seller is not liable for situation when they differ from the actual Product. 
Seller shall not be liable to any Buyer for any loss, damage incurred or inconvenience suffered in the event Seller declines to fulfil an order for whatever reason including but not limited to any unforeseen circumstance (e.g. lack of availability, quantity or specification etc) as the case may be.
 
Product Unavailability
 
In situations of stock unavailability, Seller will first try to contact Buyer to offer similar products, if available, and the right to proceed with the order accordingly. However, if any item that Buyer has ordered are no longer available or is not within Buyer expected delivery time, Seller reserves the right to reject, and/or limit quantities on any orders received.
 
Exchange, Return and Refunds
 
Should there be discrepancies in items received, kindly send Seller an email at CustomerService@a-lite.com.sg with details of the discrepancies or call Seller during Seller normal operating hours within 5 working days from receipt of goods. Contact details can be found on Seller website. 
 
Refunds for Product purchased under promotional offer will be based on the terms of the promotional price. Any special requests from buyer for refunds and exchanges will be subject to Seller acceptance of the reason for return or exchange.  
 
Discrepancies will be dealt in the following manner:
 

• If any Product proves to have been delivered in a damaged / defective condition or wrong items delivered, exchange of Products / refund will be offset in the next order placed.
• If additional/wrong or damaged Products are delivered, Seller reserves rights to collect the Products from Buyer and make right to Buyer's order.
• If items are wrongly or short delivered by mistake, Seller reserves the rights to refund the differences or supply the correct / short delivered item at Seller sole discretion.
• All damaged or wrongly delivered items must be support with photos. Seller reserve the right to reject any claims shall Buyer is unable to provide photographic documentation of the discrepancies.

 
Delivery /Order Amendment
 
Seller will only deliver Buyer order to the front door at the stated delivery address.
 
If there are any changes in the delivery address / contact details made between submission of order and delivery date, Buyer are to update Seller by email at least 24 hours prior to delivery.
No amendment to an order is allowed once order is processed. To add items, kindly create another order within 48 hours prior to delivery and inform Seller via email for combine shipment. Additional shipping surcharge might be incurred and will be borne by Buyer.
 
All amendments if agreed to surcharge or cancellation of deliveries must be confirmed via a reply through email.

Order Cancellation
 
The Buyer may cancel the order within 24 hours upon making online purchase via Seller website via email for free. After which, there would be a cancellation charge of S$20 ( GST apply for local Buyer) imposed for each order cancelled.
No cancellation will be entertained after 48 hours after order is placed.
 
Payment
 
Payment information is transmitted through a secure payment channel using PayPal online payment system. Once payment mode has been selected and order has been submitted, any changes on payment mode is not possible.
 
Links
 
Seller is not responsible for content of any other sites outside Seller website. In addition, a link to another website does not mean that Seller is affiliated, endorses or accepts any responsibility for the content displayed on the other website.
 
Limited Warranties
 
Seller shall provide to the original Buyer a limited warranty for each of Seller’s commercial grade products provided under this Agreement.
Seller warrants that the product, when delivered in new condition and in its original packaging, will be free of defects in material and workmanship for a period of one (1) years from the date of original purchase. Extend warranty are optional as and when it is made available during purchase.
 
Seller shall make the determination of whether the product is defective in its sole discretion with consideration given to the overall performance of the product.
 
A lighting product shall not be considered defective solely as a result of the failure of individual LED components to emit light if the number of inoperable components is less than 5% of the total number of LED components in the product.
 
If Seller determines the product is defective, Seller will elect, in its sole discretion, to recall and  refund Buyer the purchase price of the product, repair the product or replace the product. This limited warranty does not apply to loss or damage to the product caused by: negligence; abuse; misuse; mishandling; improper installation, storage or maintenance; damage due to fire or acts of God; vandalism; civil disturbances; power surges; improper power supply; electrical current fluctuations; corrosive environment installations; induced vibration; harmonic oscillation or resonance associated with movement of air currents around the Product; alteration; accident; failure to follow installation, operating, maintenance or environmental instructions prescribed; or improper service of the Product performed by someone other than Seller or its authorized service provider.
 
This limited warranty excludes field labor and service charges related to the repair or replacement of the Product and any delivery charges.
This limited warranty is void if the product is not used for the right purpose for which it is designed.
 
Seller reserves the right to utilize new, reconditioned, refurbished, repaired or remanufactured products or parts in the warranty repair or replacement process. Such products and parts must be comparable in function and performance to an original product or part, as determined by Seller in its sole discretion, and warranted for the remainder of the original warranty period.
 
Seller may require Buyer to promptly return the product to Seller, or its authorized service provider prepaid freight charges. Seller will send the repaired unit or a replacement, or at Seller’s option to refund the original purchase price.
 
Seller reserves the right to modify its limited warranty at any time in its sole discretion.
 
 
Limitation of Liability and claims
 
Seller's aggregate liability in damages or otherwise shall in no event exceed the amount, if any, received by seller hereunder. In no event shall seller be liable for incidental, consequential or special loss or damages of any kind, however caused, or any punitive, exemplary or other damages. No action, regardless of form, arising out of or in any way connected with this agreement or products or services furnished by seller may be brought by buyer more than three (3) months after the cause of action accrued.
 
Governing Law and Jurisdiction
 
These Terms and Conditions shall be construed in accordance with the applicable laws of Singapore. Both the Buyer and Seller irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of Singapore.
 
Termination
 
If Buyer violate any of these Terms and Conditions, Buyer permission to use the Website may be suspended or revoked, and Seller reserve the right to suspend or terminate Buyer access to, and use of, the Website at any time.
 
 
Others
 
If the products purchased from Seller are to be used in the performance of a government contract or subcontract, no government requirements or regulations shall be binding upon Seller.
 
No modification, amendment, rescission, waiver or other change in this Agreement shall be binding on Seller unless agreed to in writing by Seller.
 
The invalidity or unenforceability, in whole or in part, of any provision herein shall not affect the validity or enforceability of any other provision herein. Failure or delay on the part of either party to exercise any right, power, privilege or remedy herein shall not constitute a waiver thereof. The section headings contained herein are for convenience of reference only and are not to be used in the construction or interpretation of this Agreement.
